Policies

1. Scope and Application

These terms apply to all quotations, orders, sales, shipments, and services provided by KD DEPOT. Any additional or conflicting terms proposed by Customer are expressly rejected unless agreed to in writing by KD DEPOT.

2. Orders, Pricing, and Acceptance

All orders are subject to acceptance by KD DEPOT. Prices, product availability, and specifications are subject to change without notice. Errors in pricing or product descriptions do not obligate KD DEPOT to fulfill an order.

KD DEPOT reserves the right to refuse service, cancel orders, or limit quantities at its discretion.

3. Payment Terms

Payment is due at the time of order unless Customer has been approved for credit.

Approved credit accounts are due net thirty (30) days from the shipment date unless otherwise stated. Past-due balances may accrue interest at the maximum rate permitted by law. KD DEPOT may suspend shipments, revoke credit privileges, or require prepayment for delinquent accounts.

4. Taxes

Customer is responsible for all applicable sales, use, excise, or similar taxes arising from the transaction, excluding taxes based on KD DEPOT's income.

5. Shipping and Delivery

Shipping charges are added to the invoice unless otherwise stated. Delivery dates are estimates only and not guaranteed.

Title and risk of loss transfer to Customer upon delivery of goods to the carrier. KD DEPOT is not responsible for delays, damage, or loss caused by the carrier.

6. Returns

All returns require prior authorization from KD DEPOT and must comply with the Return Policy in effect at the time of purchase. Unauthorized returns will be refused.

7. Limited Warranty

KD DEPOT warrants that products will conform to the manufacturer's specifications at the time of shipment. KD DEPOT's sole obligation is limited, at its option, to repair, replacement, or refund at the purchase price.

8. Disclaimer of Warranties

EXCEPT AS EXPRESSLY STATED, KD DEPOT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

9. Limitation of Liability

KD DEPOT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. KD DEPOT'S TOTAL LIABILITY SHALL NOT EXCEED THE PURCHASE PRICE OF THE PRODUCT GIVING RISE TO THE CLAIM.

10. Product Use and Compliance

Customer is responsible for determining the suitability of products for their intended use and for compliance with all applicable laws, codes, regulations, and safety requirements.

11. Intellectual Property

All content on the Site, including text, graphics, logos, and images, is owned by KD DEPOT or its licensors and is protected by intellectual property laws. Unauthorized use is prohibited.

12. Indemnification

Customer agrees to indemnify and hold harmless KD DEPOT from any claims, damages, losses, or expenses arising from Customer's use of the Site or products or violation of these terms.

13. Governing Law and Venue

These terms are governed by the laws of the State of California, without regard to conflict of law principles. Venue shall be exclusively in state or federal courts located in Orange County, California.

14. Entire Agreement

These terms constitute the entire agreement between KD DEPOT and Customer regarding the subject matter herein and supersede all prior agreements or understandings.

Information Collected

We may collect business and personal information including name, company name, billing and shipping address, email address, phone number, and payment information.

Use of Information

Information is used to:

• Process orders and payments
• Manage customer accounts
• Provide customer support
• Improve website functionality
• Comply with legal obligations

Information Sharing

KD DEPOT does not sell personal information. Information may be shared with service providers, carriers, payment processors, and legal authorities as required to conduct business or comply with law.

Data Security

We use commercially reasonable safeguards to protect information but cannot guarantee absolute security.

Return Authorization

All returns require prior authorization. Returns without authorization will be refused.

Return Eligibility

Eligible items may be returned within thirty (30) days of shipment. Products must be unused, in original packaging, and in resalable condition.

Non-Returnable Items

• Special-order or custom products
• Clearance or discontinued items
• Installed electrical products
• Hazardous materials

Restocking Fees

Approved returns may be subject to a restocking fee of up to twenty-five percent (25%).

Freight Charges

Original and return freight charges are non-refundable unless the return is due to KD DEPOT error.

Damaged or Incorrect Shipments

Claims for damaged or incorrect items must be reported within five (5) business days of delivery.
